Terms of Service

1. The Service

FiveClaw provides a suite of AI-powered development tools for FiveM server developers via the Model Context Protocol (MCP). The platform includes:

• fiveclaw-agent — an open-source agent that runs on your machine. Free forever, no account required. It includes all code-intelligence tools (security scanning, analysis, validation, testing) and runs them locally. Subject to its own open-source license.
• fivem-mcp — a read-only cloud documentation and reference service (native functions, framework docs, guides), available with any plan including Free.
• Hosted Codespace — a managed, framework-loaded FiveM development server, provisioned for you on third-party cloud infrastructure, available on paid plans.

2. Eligibility & Account

You must be at least 13 years old (or the age of majority in your jurisdiction, if higher) to use the Service. By accepting these Terms you represent that you meet this requirement.

You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

You may not create accounts by automated means or under false pretenses, or share your API keys with others outside your licensed team.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Transmit malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system.
• Attempt to reverse-engineer, decompile, or extract the source code of proprietary FiveClaw cloud services.
• Use the Service to build a competing product or service that replicates FiveClaw's core functionality.
• Scrape, harvest, or systematically extract data from FiveClaw's services beyond what is reasonably necessary for your development workflow.
• Share, resell, or sublicense your API keys to third parties outside your licensed team (Enterprise plans allow up to the number of API keys in your plan).
• Circumvent rate limits, access controls, or authentication mechanisms.
• Host, distribute, or run illegal, infringing, or malicious content on a Codespace.
• Use a Codespace for cryptocurrency mining, denial-of-service, port scanning, spam, or to attack or gain unauthorized access to any system.
• Exceed the compute or resource allowances of your Codespace tier, or attempt to circumvent them.
• Use the Service in any way that damages FiveClaw's reputation or infrastructure.

5. API Keys & Rate Limits

Each plan includes a set number of API keys (shown on your dashboard). API keys are for your personal or team use only. You are responsible for keeping keys confidential. If a key is compromised, revoke it immediately from your dashboard.

FiveClaw may enforce rate limits on tool calls to ensure fair usage and service availability. Excessive usage that impacts other users may result in temporary throttling or account review.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. AI-GENERATED CODE ANALYSIS AND SUGGESTIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD BE REVIEWED BEFORE USE IN PRODUCTION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIVECLAW AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FIVECLAW IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

9. Indemnification

You agree to indemnify and hold harmless FiveClaw and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account and access to the Service immediately, without prior notice, if:

• You violate these Terms or our Acceptable Use policy.
• We are required to do so by law.
• Continued provision of the Service is, in our judgment, commercially impracticable.

Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability) will survive termination.

11. Changes to the Service or Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 14 days' notice via email or an in-app notice before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

We may also modify, deprecate, or discontinue features of the Service. For paid plan features, we will provide reasonable advance notice of any material removals.

12. Governing Law & Disputes

These Terms are governed by the laws of the United States and the state in which FiveClaw is incorporated, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service will first be addressed through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction for IP or confidentiality violations.

13. Miscellaneous

• Entire Agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between you and FiveClaw regarding the Service.
• Severability — If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• No Waiver — Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment — You may not assign your rights under these Terms without our written consent. We may assign our rights freely.
• Force Majeure — FiveClaw is not liable for delays or failures caused by events beyond our reasonable control.
